ACKNOWLEDGMENT OF RISK AND HOLD HARMLESS AGREEMENT

I, the purchaser of the Hood Technology Inc online course, hereby acknowledge and agree to, on the date of purchase of this online course, that I have voluntarily chosen to use the facilities and participate in the training activities of Hood Pro, Inc. and/or Hood Technology, Inc., Inc., including, but not limited to, climbing ladders, working on top of kitchen equipment, walking in greasy areas, using caustic chemicals, etc.

I understand the risks involved in the program. I recognize that the training activities involve risk of injury and I agree to accept any and all risks associated with it, including but not limited to property damage or loss, minor bodily injury, severe bodily injury, and death. Furthermore, I recognize that participation in the program involves activities and risks incidental thereto, including but not limited to, travel to and from the program and the possible reckless conduct of other participants. I am voluntarily participating in the program with the knowledge of the risks involved and hereby agree to accept any and all inherent risks of property damage, bodily injury, or death. 

In consideration of my participation in the program and to the fullest extent permitted by law, I agree to indemnify, defend and hold harmless Hood Pro, Inc. and/or Hood Technology, Inc., its officers, directors, employees, agents, volunteers and assigns from and against all present and future claims arising out of or resulting from my participation in the program. "Claim" as used in this agreement means any financial loss, claim, suit, action, damage, or expense, including but not limited to attorney's fees, attributable to bodily injury, sickness, disease or death, or injury to or destruction of tangible property including loss of use resulting there from. In addition, I hereby voluntarily hold harmless Hood Pro, Inc. and/or Hood Technology, Inc., Inc. its officers, directors, employees, agents, volunteers and assigns from any and all claims both present and future, that may be made by me, my family, estate, heirs or assigns. 

I hereby expressly agree to indemnify, defend, and hold harmless Hood Pro, Inc. and/or Hood Technology, Inc., Inc., its officers, directors, employees, agents, volunteers and assigns for any claim arising out of or incident to my participation in the program, unless claim is caused by the sole negligence or willful misconduct of Hood Pro, Inc. and/or Hood Technology, Inc. 

I also understand that Hood Pro, Inc. and/or Hood Technology, Inc. does not provide any medical or dental insurance or life insurance to cover bodily injury, illness or death, nor insurance for personal property damage or loss, nor insurance for liability arising out of my negligent acts or omissions; and I acknowledge that I am completely responsible for my own insurance to cover these expenses.

I further understand that this acknowledgment of risk and hold harmless is intended to be as broad and inclusive as permitted by the laws of the State of Georgia and that if any portion hereof is held invalid, I agree that the balance shall, notwithstanding, continue in full legal force and effect.   

I agree that this acknowledgment of risk and hold harmless is effective for as long as I participate in the program.

NON-DISCLOSURE/NON-COMPETE AGREEMENT

This agreement is made as of the date of purchase of the Hood Technology Inc Online Course, by and between: Hood Pro, Inc. and Hood Technology, Inc. located in the state of Georgia.

This Agreement shall govern the conditions of disclosure by Hood Pro, Inc. and Hood Technology, Inc. to the purchaser of the Hood Technology, Inc. Online Course of certain "Confidential Information" including but not limited to all training material, photographs, trade secrets and intellectual property relating to the "Kitchen Exhaust System and Training Certification" hosted by Hood Pro, Inc. and Hood Technology, Inc. 

With regard to the Confidential Information, the purchaser of the Hood Technology, Inc.Online Course hereby agrees:

1. Not to use the information therein except for training purposes.
2. 
   To safeguard the information against disclosure to others with the same degree of care as exercised with its own information of a similar nature.
3. 
   Not to disclose the information to others, without the express written permission of Hood Pro, Inc. and Hood Technology, Inc.

4. To not directly or indirectly acquire any interest in, design, create, or otherwise sell based upon or derived from the information obtained, except as may be expressly agreed to in writing by Hood Pro, Inc and Hood Technology, Inc..


IN WITNESS WHEREOF the Parties have hereunto executed this Agreement as of the day and year first above written.
